Imperialis Terms and Conditions are as follows:
Definitions
In these Conditions the following words and phrases shall have the following meanings:-
Client: any person using and purchasing the Services.
Conditions: these Standard Terms and Conditions;
Fees: the fees and charges payable by the Client under these Conditions;
Services: the services which Imperialis Ltd. has agreed to provide to the Client
Services Generally
The Client agrees to provide Imperialis Ltd., in such a format as Imperialis Ltd. may request, any information necessary to enable Imperialis Ltd. to provide those Services.
Imperialis Ltd. shall not be obliged to provide those Services until the Client has supplied it with the information necessary to provide those Services. Such information shall be supplied within 5 days of the Client requesting the performance of the relevant Services, or such later date as agreed by Imperialis Ltd.
Obligations of Imperialis Ltd.
Imperialis Ltd. will use its reasonable endeavours to provide the Services to the Client within the agreed timeframe. No guarantee can be made that the Services will result in a successful grant award.
Obligations of the Client
The Client hereby undertakes and warrants to Imperialis Ltd. to comply with the provisions of the Data Protection Act 2000 and other relevant legislation.
The Client confirms that any information supplied by the Client in connection with the provision of the Services is accurate, complete and true.
Rates
The rates shall be those rates agreed between Imperialis Ltd. and the Client in writing at the time the Client places an order for Services.
Payment
Payment for Services will be made by the Client to Imperialis Ltd. within 30 days of the invoice date.
Governing Law and Jurisdiction
These Conditions shall be governed by, and construed in accordance with, the laws of England and Wales.
